1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or entity, "you" or "Customer") and Sleuthr ("Sleuthr", "we", "us", or "our") regarding your access to and use of the Sleuthr platform and services.

By accessing or using Sleuthr, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the platform. Your continued use after changes constitutes acceptance of the modified Terms.

2. Service Description

Sleuthr provides a cloud-based security auditing platform for Google Workspace environments. Our services include:

  • Automated scanning of Google Workspace files and folders for security vulnerabilities
  • Analysis of file sharing permissions and access controls
  • Identification of external sharing risks and compliance issues
  • Risk scoring and prioritization of security findings
  • Detailed audit reports and actionable recommendations
  • Real-time monitoring and notifications of security events

The specific features available to you depend on your subscription plan as described in Section 5.

3. Account Registration and Eligibility

3.1 Eligibility

To use Sleuthr, you must:

  • Be at least 16 years of age
  • Have the authority to bind your organization to these Terms
  • Provide accurate and complete registration information
  • Have a valid Google Workspace account with appropriate administrative permissions
  • Not be prohibited from using our services under applicable law

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your contact information is current and accurate

We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Organization Accounts

If you create an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The organization will be the Customer and is responsible for all obligations under these Terms.

4. Google Workspace Authorization and Access

4.1 OAuth Authorization

To use Sleuthr, you must grant us access to your Google Workspace environment via OAuth 2.0. By authorizing our application, you:

  • Grant us permission to access file metadata and sharing settings
  • Acknowledge that we will analyze permission configurations
  • Understand that we will store audit results in our secure database
  • Can revoke access at any time through your Google Account settings

4.2 Scope of Access

We access only the minimum necessary data to provide our services:

  • File and folder metadata (names, types, sizes, dates)
  • Sharing permissions and access levels
  • User and group information
  • Domain-level security settings

We do not: Read, access, or store the actual content of your documents, spreadsheets, presentations, or other files. We only analyze metadata and permission configurations.

4.3 Revoking Access

You may revoke our access to your Google Workspace at any time through your Google Account permissions page. Revoking access will:

  • Prevent us from conducting new audits
  • Disable real-time monitoring features
  • Retain existing audit results for your records
  • Not automatically cancel your subscription

5. Subscription Plans and Billing

5.1 Subscription Tiers

Sleuthr offers the following subscription plans:

Starter (Free)

Limited trial features for evaluation purposes

Business ($149/month)

Full audit capabilities with standard support

Professional ($449/month)

Enhanced features with priority support

Enterprise ($1,200/month)

Custom solutions with dedicated account management

5.2 Billing and Payment

Subscription fees are billed in advance on a monthly basis. By subscribing, you authorize us to charge your payment method:

  • Payment is processed securely through Stripe, our payment provider
  • Subscriptions automatically renew unless cancelled
  • Price changes will be communicated at least 30 days in advance
  • You are responsible for all applicable taxes and transaction fees
  • Failed payments may result in service suspension or termination

5.3 Refund Policy

Subscription fees are generally non-refundable. However, we may offer refunds at our sole discretion in the following circumstances:

  • Service outages exceeding our SLA commitments
  • Billing errors or duplicate charges
  • Cancellations within 7 days of initial subscription (first-time customers only)

5.4 Cancellation and Downgrade

You may cancel or downgrade your subscription at any time through the billing portal:

  • Cancellations take effect at the end of the current billing period
  • You retain access to paid features until the period ends
  • Downgrading may result in loss of data or feature access
  • No partial refunds for unused time in the billing period

6. Acceptable Use Policy

You agree not to use Sleuthr for any unlawful or prohibited purpose. Specifically, you must not:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the service to scan or audit Google Workspace environments without proper authorization
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the service
  • Use automated scripts or bots to access the service inappropriately
  • Transmit viruses, malware, or other malicious code
  • Interfere with or disrupt the service or its infrastructure
  • Resell, sublicense, or redistribute the service without authorization
  • Remove or obscure any proprietary notices or labels
  • Use the service to compete with us or develop competing products

Violation of this policy may result in immediate suspension or termination of your account without refund.

7. Intellectual Property Rights

7.1 Our Property

Sleuthr and all associated technology, including software, designs, text, graphics, user interfaces, and trademarks, are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as described.

7.2 Your Data

You retain all rights to your data. By using our service, you grant us a limited license to:

  • Access and process your Google Workspace metadata
  • Store audit results and security findings
  • Generate reports and analytics based on your data
  • Use aggregated, anonymized data to improve our services

This license terminates when you delete your account, subject to retention requirements in our Privacy Policy.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us an unrestricted, perpetual license to use them without compensation or attribution.

8. Warranties and Disclaimers

8.1 Service Availability

We strive to provide reliable service but cannot guarantee uninterrupted or error-free operation. We may:

  • Perform scheduled maintenance with advance notice
  • Experience unplanned downtime due to technical issues
  • Modify or discontinue features with reasonable notice
  • Impose usage limits to maintain service quality

8.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLEUTHR IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF AUDIT RESULTS
  • NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
  • SECURITY OR FREEDOM FROM ERRORS OR VULNERABILITIES

Important: Sleuthr provides security audit tools but does not guarantee the detection of all security issues. You are responsible for implementing appropriate security measures based on audit results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SLEUTHR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • THIS INCLUDES DAMAGES FOR LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR SECURITY BREACHES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • FOR FREE TIER USERS, OUR TOTAL LIABILITY SHALL NOT EXCEED $100

These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so these may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sleuthr, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from:

  • Your use or misuse of the service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your unauthorized access to Google Workspace environments
  • Any data you provide or actions you take using our service

11. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that your use of Sleuthr complies with applicable data protection laws, including:

  • GDPR (General Data Protection Regulation) for EU/EEA operations
  • CCPA (California Consumer Privacy Act) for California operations
  • Other applicable privacy and data protection regulations

We act as a data processor for your Google Workspace data. You remain the data controller and are responsible for obtaining necessary consents and providing required notices to individuals whose data is processed.

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription through the billing portal
  • Contacting our support team to request account deletion
  • Revoking Google OAuth access (though this does not cancel your subscription)

12.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your payment method fails or your account becomes delinquent
  • We are required to do so by law or court order
  • We reasonably believe your account poses a security risk
  • You engage in fraudulent or illegal activity

12.3 Effect of Termination

Upon termination:

  • Your access to the service will be immediately revoked
  • We will delete your data according to our Privacy Policy retention schedule
  • You remain liable for all fees incurred prior to termination
  • Provisions that by their nature should survive will remain in effect

13. Third-Party Services and Links

Sleuthr integrates with third-party services including Google Workspace, Stripe, and others. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Third-party service outages or changes
  • Data practices of third-party providers
  • Any damages arising from your use of third-party services

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing a claim, you agree to contact us at legal@sleuthr.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

14.3 Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms shall be finally settled by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sleuthr regarding the service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, or failures of third-party infrastructure.

15.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the service.

BY USING SLEUTHR, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE OUR SERVICE.
